Acceptance of Terms
By accessing, downloading, or using any product, service, website, or software offered by MaityOS ("the Company", "we", "us", "our"), you ("User", "Client", "you") agree to be legally bound by these Terms of Service ("Terms").
"If you represent an entity, you warrant you have the authority to bind them to these Terms."
Your continued use of MaityOS services following the posting of any changes to these Terms constitutes acceptance of those changes. If you do not agree, you must cease all use of our services immediately.
Services Rendered
MaityOS provides custom software development, AI integration, cloud infrastructure, and technical consulting. Our core areas of expertise include:
Specific project deliverables and timelines are governed by separate Statements of Work (SOW), which take precedence over these general Terms in case of conflict.
Intellectual Property
Ownership of intellectual property (IP) is clearly defined based on the type of asset:
Client IP
Clients receive full rights to custom code and designs specifically created for their project upon full payment.
MaityOS IP
We retain ownership of pre-existing frameworks, libraries, and proprietary internal systems.
Open Source
Third-party components used remain governed by their respective original licences.
Marketing
MaityOS may feature completed projects in case studies unless non-disclosure is agreed.
Limitation of Liability
To the fullest extent permitted by law, MaityOS shall not be liable for indirect, incidental, or consequential damages. Our total liability is capped at the fees paid in the twelve (12) months preceding any claim.
Warranty Disclaimer
Services are provided "as is" and "as available" without warranty of any kind, whether express or implied.
Payment & Billing
Payment terms are established in individual project contracts. Standard conditions include:
- 1Invoices are due within 30 days of issuance.
- 2A deposit (typically 30-50%) is required to commence work.
- 3Late payments may accrue interest at 1.5% per month.
- 4Services may be suspended for accounts overdue by 30+ days.
Termination
Either party may terminate a service engagement with 30 days' written notice. MaityOS reserves the right to terminate immediately for material breaches, abusive conduct, or failure to pay.
Upon termination, clients are responsible for payment regarding work completed. Surviving clauses include IP ownership, liability caps, and governing laws.
Governing Law
These Terms shall be governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of competent courts in India. Both parties agree to attempt good-faith negotiation for 30 days before initiating legal action.
Changes to Terms
We reserve the right to modify these Terms. Material changes will be notified via email or a prominent notice on our site. Your continued use constitutes acceptance of revised Terms.
